Strategically Digital (StraDigi) - 'The Roadmap' Master Resell Rights Product

Please carefully review these terms and conditions (the "Agreement") before using or accessing 'The Roadmap' with Master Resell Rights ("MRR") product. This Agreement establishes a legally binding contract between you (the Licensee) and Strategically Digital, operating as StraDigi (the "Licensor").

Acceptance Statement:

By accessing or using 'The Roadmap' MRR product, you confirm the following statement: "I confirm that I am not currently, nor have I been in the past, an Associate, Customer, or Brand Partner of Isagenix."

License Grant:

Grant of License: The Licensor grants you a non-exclusive, non-transferable license to use, reproduce, and resell 'The Roadmap' with MRR product in accordance with the terms of this Agreement.

Resell Rights: You are authorized to resell the product to end-users, retaining all profits from sales within your network. The product must not be sold for less than $497.

Restrictions on Private Label Rights: You are not permitted to claim ownership of, modify, or rebrand 'The Roadmap' MRR product. Private label rights are expressly excluded.

Sales and Refunds:

Final Sales: All sales of 'The Roadmap' with MRR product are final. Refunds will not be issued due to the downloadable nature of the content.

Use Restrictions:

Lawful Use: You agree not to use 'The Roadmap' with MRR product for any unlawful purposes, including the distribution of illegal or offensive content.

Intellectual Property Rights:

Ownership: All intellectual property rights, including copyrights, trademarks, and other proprietary rights in 'The Roadmap' with MRR product, remain with Strategically Digital, operating as StraDigi.

Warranty and Liability:

No Warranty: 'The Roadmap' with MRR product is provided "as-is" without any warranty, either express or implied.

Limitation of Liability: Strategically Digital, operating as StraDigi, shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from the use or inability to use the product.

Termination:

Breach of Agreement: This Agreement may be terminated by the Licensor in the event of a breach of its terms by the Licensee. Upon termination, you must cease all use and distribution of the product.

General Provisions:

Governing Law: This Agreement is governed by the laws of South Africa.

Maximum Claim: The customer agrees that their maximum litigation claim shall be no more than what they spent.

Legal Fees: The parties agree to pay their own legal fees in the event of a dispute.

Entire Agreement: This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, whether oral or written.

By accessing or using 'The Roadmap' with MRR product, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this Agreement.
